Foundation Bylaws

WAFCS Foundation Bylaws 

ARTICLE I
NAME

The name of this organization shall be the Wisconsin Association of Family and Consumer Sciences Foundation, hereafter referred to as Foundation.

ARTICLE II
PURPOSE AND MISSION

The purpose of the Foundation is to support the purposes of the Wisconsin Association of Family and Consumer Sciences, hereafter referred to as WAFCS. The Foundation is an entity of WAFCS, utilizing the 501(c)(3) non-profit organization status of WAFCS. Funds raised by the Foundation will be under their purview, with oversight provided by the WAFCS Finance Committee and the WAFCS Professional Development Committee. The mission is to provide support for student and professional members whose work assists individuals, families, and communities in making informed decisions about their well-being, relationships and resources to achieve optimal quality of life.

ARTICLE III
FOUNDATION BOARD

Section 1. The Foundation in order to affect its purpose shall have a Board of Directors. The Board shall administer the business of the Foundation, recommend policy, and provide leadership for and manage the affairs and funds of the Foundation. 

The composition of the Foundation Board and meeting procedures shall be as defined in the Foundation’s policies.

Section 2. The Foundation will have representation on the WAFCS Finance Committee for fiscal oversight.

Section 3. The Foundation will have representation on the WAFCS Professional Development Committee for program direction and support.

Section 4. Elections shall be conducted as defined in the Foundation’s policies and in conjunction and accordance with WAFCS elections.

Section 5. Chair and at-large Foundation Board members shall be elected for two-year terms. Foundation Treasurer is the WAFCS Treasurer and serves a two-year term coinciding with the WAFCS Treasurer term.

The Foundation Chair shall fill vacancies on the Board as they may occur, with such appointments to be held only until the next election cycle. 

Section 6. All members of the Foundation Board have voting privileges on the Foundation Board of Directors.

Section 7. The responsibilities of the Foundation Board shall be as determined by the Foundation Board of Directors and defined in the Foundation’s policies. 

ARTICLE IV
FISCAL YEAR

The fiscal year of the Foundation shall be the same as that of WAFCS.

ARTICLE V
AMENDMENTS

These Bylaws may be amended by action of the Foundation Board and a majority vote of the WAFCS Executive Board, without any notice prior thereof.

ARTICLE VI
TAX EXEMPT STATUS

The Foundation is an entity of WAFCS, utilizing the 501(c)(3) non-profit organization status of WAFCS.  

ARTICLE VII
DEFENSE AND LIABILITY

Liability of directors is as stated in the WAFCS bylaws.

ARTICLE VIII
INDEMNIFICATION

Indemnification of directors is as stated the WAFCS bylaws.

ARTICLE IX
DISSOLUTION

Dissolution of the Foundation shall be conducted in the same manner as stated in the WAFCS bylaws.  

ARTICLE X
PARLIAMENTARY AUTHORITY

Except as otherwise provided in its bylaws and policies, the Foundation shall be governed in its proceedings by the current edition of Robert’s Rules of Order
